These terms apply to the use of Tuneflock, the music marketing platform at app.tuneflock.com (the platform), run by Dipsy BV, Kerkstraat 4, 4901 JG Oosterhout, registered under number KVK 88734323, VAT NL864755612B01 (we). By creating an organisation on the platform you (the customer) accept them on behalf of your label or company.
Tuneflock promotes music on TikTok. A flock of accounts that we and our partners operate (the sheep) posts short videos made from your track, your artwork and your lyrics, with the official TikTok sound of the track, in the countries you choose. The platform shows you what was posted and the views, likes, comments, shares and sound uses that came of it, as TikTok reports them.
One organisation per label or company. You are responsible for the people you invite, for what they do on the platform and for keeping log-in details safe. Tell us at once at [email protected] when you think an account is misused. You must be at least 18 and entitled to bind the organisation you sign up for.
You confirm that for every track, artwork, lyric and video you add you hold the rights needed to have it posted on TikTok in the countries you pick, or a licence that covers it: the master, the composition and the artwork, or the permission of whoever holds them. You confirm that the official TikTok sound you link is the sound of that track. You grant us, for the duration of the campaign, the right to make videos from what you add and to have the sheep post them with that sound. We never use the artwork or the music of another label for your videos, and we never post content that is unlawful, hateful, deceptive or infringing; we may refuse or take down a track or a video for that reason without owing you anything.
The sheep are real TikTok accounts and TikTok's own rules apply to everything they post. A new account is warmed up before it posts and posts at most a few videos a day. We decide the moment, the look and the account of every video within what you set (countries, number of sheep, budget, approval by hand or automatic). Views and the other numbers are TikTok's; we read them, we do not make them. We do not promise a number of views, a chart position, a sound trend or any other outcome, and we are not responsible for what TikTok does with an account, a video or a sound.
You pay for views delivered, at the price per thousand views shown when you set a budget; the budget is the most we charge for that track. Where a monthly platform fee or a price per sheep applies, it is shown on your billing page before you commit. Prices are in euro and exclude VAT unless the page says otherwise. Payment is by card through our payment provider or, for enterprise customers, by monthly invoice payable within 14 days. When a payment fails, nothing new goes out until it is fixed. Sheep that were ordered and made for you are not refundable; a budget that was not spent is not charged.
The platform is in beta. Features change, numbers in the dashboard can lag TikTok by hours, and the service can be interrupted for maintenance or by our partners. We tell you about changes that matter to you by email or on the platform.
You can stop at any time: archive your tracks, or ask us to close the organisation. We can end your access with 14 days' notice, or at once when these terms are broken, when a payment stays unpaid or when the law asks it. Posts that are already live stay on TikTok unless you ask us to remove them; we remove what we can. You can export your data from the platform before the organisation is closed.
We are liable for direct damage caused by our fault, up to the amount you paid us in the three months before the event. We are not liable for lost revenue, lost data, lost reach or other indirect damage, for the acts of TikTok or of the account owners, or for content you provided. Nothing here limits liability that cannot be limited by law, such as for intent or gross negligence.
We can change these terms; we announce a change at least 14 days before it applies, and you can end the agreement before that date if you do not accept it. The law of the Netherlands applies. Disputes go to the competent court of the place where Dipsy BV is registered, unless the law gives you another court.
